These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "User") and Stratify Studio (SMC-Pvt) Ltd. ("Stratify Studio", "Company", "we", or "us"). By engaging our digital branding, web development, or consulting services, you explicitly agree to the following terms, conditions, and liability waivers.

Stratify Studio retains full ownership and Intellectual Property (IP) rights to all code, designs, branding assets, and infrastructure built during the project lifecycle. IP ownership is only transferred to the Client after the final milestone payment has been cleared in full, and the files are officially handed over.

We retain the perpetual, non-exclusive right to display a "Developer's Credit" (e.g., "Designed by Stratify Studio") on the Client's website, application, or portal. Furthermore, we reserve the right to showcase the completed project within our own portfolio, case studies, and marketing materials as we see fit. If a Client requests a white-label service or the removal of these credits, an additional agreed-upon fee will apply.

Stratify Studio operates on a strict milestone-based payment structure. All payments, including upfront deposits and completed milestone invoices, are 100% non-refundable under all circumstances. This applies even if the Client abandons the project midway, if Stratify Studio ceases operations permanently, or if the Client is dissatisfied with the final output despite approving the preceding milestones.

The Client holds the right to request modifications and revisions during the active project timeline. The Client does not have the right to reject the final project based on subjective changes in preference or discovering cheaper alternatives post-agreement.

Stratify Studio operates under strict reimbursement guidelines. Full transparency regarding alternative cancellation routes, milestone breakdowns, and payment settlements is administered independently.

We strive to maintain a flexible and collaborative environment. For Clients who are understanding and adhere to our system workflows, reasonable revisions and minor feature additions are often delivered completely free of charge. However, Stratify Studio reserves the absolute right to bill for revisions on a per-milestone basis. Any new features, pages, or complex functionalities requested that were not explicitly detailed in the initial agreement and timeline will be scoped, quoted, and billed separately before implementation.

Stratify Studio provides comprehensive digital engineering, but we do not provide lifetime warranties. Once code is successfully deployed and operational, it does not inherently "break" without external interference. Therefore, issues arising from third-party framework updates (e.g., Next.js version deprecations), external hosting failures, Cloudflare misconfigurations, technical tampering by the Client, or Acts of God are entirely excluded from any implied warranty.

We provide a standard maintenance period of 3 to 4 months following final deployment, depending on the project's gravity. During this period, we will provide bug fixes, standard DNS resolutions, and basic hosting maintenance (if the hosting is managed by us). This maintenance period strictly covers the stabilization of the existing build and does not cover the addition of new features.

Stratify Studio reserves the right to immediately terminate a project and enforce a "Kill Fee" under the following scenarios: the Client deliberately delays the project due to financial inability; the Client expresses intent to shift the project to another agency mid-development; or the Client loses interest and becomes unresponsive ("ghosting").

Exception for Severe Personal Emergencies: In the event of a severe personal emergency on the Client's end (e.g., severe illness, accident, or death), Stratify Studio will package and hand over all work completed up to that date without any additional administrative charges, provided a request is made. No refunds will be issued for the incomplete portions of the project. The Client acknowledges that Stratify Studio is not responsible if the Client or their representatives are unable to utilize or comprehend the partially completed work.

We provide highly versatile technical services. However, Stratify Studio cannot guarantee the continuity of human life. The Client explicitly agrees that in the event of the death, severe incapacitation, or permanent unavailability of the Director, Founder, or Co-Founder of Stratify Studio, the company will immediately and permanently shut down operations.

There will be no alternative contacts, no successor agency assignments, and no handover procedures. The Client explicitly waives the right to hold the company, its surviving owners, employees, or interns legally or financially responsible in such a scenario. No refunds will be issued, and no pending projects will be finalized. The Client's sole recourse will be the retrieval of their data from the Client Portal prior to the expiration of the hosting servers.

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any legal disputes arising out of these Terms or the execution of services shall be subject to the exclusive jurisdiction of the competent courts located in Islamabad Capital Territory, Pakistan.

Stratify Studio reserves the right to update these Terms of Service. Clients will be notified of material changes. Continued engagement with our services constitutes acceptance of the modified Terms.
